1. Agreement Overview
These Terms and Conditions ("Terms") are a legal agreement between WebNeuro Inc. ("WebNeuro," "we," "us," or "our") and the organization or person accessing or using TONVUX ("Subscriber," "you," or "your"). TONVUX is owned and operated by WebNeuro Inc., Calgary, Alberta, Canada.
By accessing the TONVUX website, creating an account, signing a service agreement, activating a subscription, installing a widget, using the subscriber portal, using the dashboard, or using any related feature, you confirm that you have read, understood, and agree to these Terms.
If you are using TONVUX on behalf of a clinic, pharmacy, medical practice, healthcare organization, or other business, you represent that you have authority to bind that organization to these Terms.
2. Relationship to Service Agreements
These Terms apply to public website use, app-linked pages, subscriber portal access, and general TONVUX use. If you have signed a separate TONVUX Service Subscription Agreement, order form, statement of work, or written contract with WebNeuro, that written agreement also applies. If there is a direct conflict, the signed written agreement controls for that subscriber relationship.
3. What TONVUX Provides
TONVUX is a business-to-business software platform for healthcare and wellness organizations. Depending on your plan and activated features, TONVUX may provide:
- Website widgets for estimated wait times, status, availability, and announcements.
- Subscriber dashboard tools for updating operational status information.
- Waiting-room kiosk or display mode.
- Multi-location status displays.
- Analytics related to public status views and engagement.
- Language, branding, and configuration options.
- Optional integrations, notification tools, AI-assisted information tools, or Google Business Profile-related features where activated.
4. What TONVUX Does Not Provide
TONVUX is an operational communication tool. It is not a medical device, EMR, clinical record system, diagnostic tool, emergency tool, triage system, or substitute for professional judgment.
- TONVUX does not provide medical advice, diagnosis, treatment, or clinical decision support.
- TONVUX does not guarantee patient volume, appointment bookings, reduced calls, shorter wait times, improved medical outcomes, or patient satisfaction.
- TONVUX does not guarantee that wait-time estimates will be exact or that clinic status information will remain current unless the Subscriber updates it appropriately.
- TONVUX does not replace the Subscriber’s legal, privacy, consent, accessibility, clinical, staffing, or operational responsibilities.
5. Authorized Access Only
The TONVUX subscriber portal and dashboard are for approved subscribers and authorized team members only. You are responsible for ensuring that only authorized users access your account.
You must keep usernames, staff email addresses, passwords, API keys, and embed codes confidential. You are responsible for all activity under your account, except where caused by WebNeuro’s proven breach of these Terms.
6. Subscriber Responsibilities
You are responsible for your use of TONVUX and for the information you publish through the Services.
- Keep clinic, pharmacy, location, hours, availability, wait-time, announcement, and display information accurate and reasonably current.
- Use estimated wait-time language and avoid presenting wait times as guaranteed.
- Maintain alternative ways to communicate with patients or visitors during outages, maintenance, internet failures, or emergencies.
- Obtain all consents required for optional messaging, SMS, notifications, integrations, or other features you enable.
- Comply with all laws that apply to your organization, including privacy, healthcare, advertising, accessibility, CASL, professional, and consumer-protection obligations.
- Train your staff on appropriate use and remove access promptly when a user no longer needs it.
- Avoid entering patient personal health information unless WebNeuro has confirmed in writing that a specific feature is designed and authorized for that purpose.
7. Wait-Time and Status Accuracy
All wait times, availability labels, provider labels, open or closed states, and announcements displayed through TONVUX are subscriber-controlled operational information. Wait times are estimates only. Actual timing may change based on patient volume, provider availability, appointment needs, emergencies, staffing, clinic operations, and other factors.
WebNeuro is not responsible for inaccurate, outdated, incomplete, misleading, or unauthorized information entered, approved, published, or displayed by a Subscriber or its users.
8. Acceptable Use
You agree not to misuse TONVUX or interfere with the platform, other subscribers, patients, visitors, or WebNeuro’s systems.
- Do not use TONVUX for unlawful, harmful, deceptive, abusive, threatening, discriminatory, defamatory, or misleading content.
- Do not attempt unauthorized access, credential stuffing, scraping, probing, scanning, testing, bypassing controls, or interfering with security.
- Do not upload malware, malicious code, or content that disrupts the Services.
- Do not resell, sublicense, lease, rent, transfer, or commercially exploit TONVUX without written permission.
- Do not use TONVUX to build, train, benchmark, or support a competing product or service.
- Do not copy, reproduce, modify, reverse engineer, decompile, disassemble, extract, frame, mirror, or create derivative works from TONVUX.
9. API Keys, Embed Codes, and Domains
API keys, embed scripts, dashboard credentials, and access tokens are licensed only for your approved account, registered domains, and authorized locations. You may not share, transfer, publish, or use them for any unauthorized domain, location, product, competitor, or third party.
WebNeuro may rotate, suspend, revoke, or disable credentials, API keys, embeds, or access where needed for security, misuse prevention, non-payment, breach, or platform protection.
10. Intellectual Property and Copyright Protection
TONVUX is proprietary software developed and owned by WebNeuro Inc. All rights, title, and interest in and to TONVUX remain with WebNeuro Inc., including software code, algorithms, architecture, dashboards, widgets, kiosk designs, interface designs, documentation, branding, trademarks, trade secrets, workflows, copy, visual assets, and all modifications, updates, and enhancements.
TONVUX is protected by copyright, trademark, trade secret, contract, and other laws. CIPO Copyright Registration No. 1245963 identifies WebNeuro Inc. as the registered owner. TONVUX(tm) is a trademark of WebNeuro Inc. unless and until replaced by a registered trademark notice.
Your subscription grants only a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use TONVUX for your own internal business operations during the active subscription term. No ownership rights are transferred.
11. Feedback
If you provide ideas, feedback, suggestions, requests, bug reports, or recommendations about TONVUX, you grant WebNeuro a perpetual, irrevocable, worldwide, royalty-free right to use, modify, commercialize, and incorporate that feedback without restriction or compensation.
12. Subscriber Data
You retain ownership of the operational data, content, business information, logo, branding, messages, and configuration information you submit to TONVUX. You grant WebNeuro a limited licence to host, process, display, transmit, reproduce, and use that data only as needed to provide, secure, support, maintain, enforce, and improve the Services.
13. Privacy and Data Protection
Your use of TONVUX is subject to the TONVUX Privacy Policy. You are responsible for ensuring that your use of TONVUX complies with privacy and healthcare laws that apply to your organization. WebNeuro may suspend or restrict features if we reasonably believe they are being used in a way that creates legal, privacy, security, or platform risk.
14. Optional Messaging, AI, and Integrations
Optional SMS, email, notification, AI-assisted information, Google Business Profile, analytics, payment, hosting, or other integrations may be subject to additional terms, third-party terms, consent requirements, technical limits, and availability constraints.
You are responsible for reviewing and approving all public-facing content, messages, AI-assisted outputs, status updates, and announcements before relying on or displaying them. AI-assisted features, if enabled, are informational tools only and must not be used as medical advice, diagnosis, treatment, triage, or emergency guidance.
15. Fees, Billing, Renewal, and Cancellation
Subscription fees, billing cycles, renewal rules, demo periods, installation fees, cancellation rights, and payment failure processes are set out in your TONVUX Service Subscription Agreement, order form, invoice, dashboard, or written plan terms.
Unless otherwise stated in a written agreement, fees are payable in Canadian dollars, taxes are extra, and access may be suspended for non-payment. WebNeuro does not guarantee refunds for unused subscription periods except where required by law or expressly agreed in writing.
16. Service Availability and Changes
WebNeuro uses commercially reasonable efforts to provide reliable Services, but TONVUX is provided on an "as available" basis. Service levels are targets, not guarantees, unless a signed written agreement expressly states otherwise.
We may modify, improve, suspend, remove, or discontinue features where needed for security, legal compliance, product development, third-party provider changes, or business reasons. We will provide notice of material changes where reasonable.
17. Suspension and Termination
WebNeuro may suspend or terminate access immediately if we reasonably believe there is non-payment, unauthorized access, credential compromise, security risk, privacy risk, misuse, infringement, reverse engineering, legal risk, violation of these Terms, or harm to WebNeuro, subscribers, patients, visitors, or third parties.
On termination, your right to use TONVUX ends. Certain sections of these Terms survive termination, including intellectual property, confidentiality, privacy, acceptable use, subscriber responsibilities, warranty disclaimer, limitation of liability, indemnification, governing law, and dispute provisions.
18. Confidentiality
Non-public information about TONVUX, including pricing, roadmap, source code, architecture, dashboards, APIs, security controls, designs, documentation, business plans, and technical information, is confidential to WebNeuro. You may use it only as needed to use TONVUX and may not disclose it to third parties without written permission.
19. Warranty Disclaimer
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TONVUX AND ALL RELATED SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. WEBNEURO DISCLAIMS ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, SECURITY, ERROR-FREE OPERATION, AND UNINTERRUPTED SERVICE.
WEBNEURO DOES NOT WARRANT THAT TONVUX WILL MEET YOUR REQUIREMENTS, PREVENT ALL ERRORS, PREVENT ALL UNAUTHORIZED ACCESS, REDUCE WAIT TIMES, REDUCE CALLS, INCREASE BOOKINGS, IMPROVE PATIENT OUTCOMES, OR SATISFY YOUR LEGAL OR PROFESSIONAL OBLIGATIONS.
20. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WEBNEURO’S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO TONVUX, THESE TERMS, OR THE SERVICES WILL NOT EXCEED THE TOTAL SUBSCRIPTION FEES PAID BY YOU TO WEBNEURO FOR TONVUX IN THE THREE (3) MONTHS IMMEDIATELY BEFORE THE EVENT GIVING RISE TO THE CLAIM.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WEBNEURO WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST DATA, LOST GOODWILL, LOST PATIENTS, REPUTATIONAL HARM, SERVICE INTERRUPTION, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
21. Indemnification
You agree to defend, indemnify, and hold harmless WebNeuro Inc. and its directors, officers, employees, contractors, agents, successors, and assigns from and against claims, losses, liabilities, damages, costs, and expenses, including reasonable legal fees, arising from or related to:
- Your use or misuse of TONVUX.
- Your account users, credentials, API keys, embed codes, content, data, announcements, status updates, or displayed information.
- Your violation of these Terms, a service agreement, applicable law, or third-party rights.
- Your clinic, pharmacy, healthcare, business, privacy, consent, advertising, professional, or operational obligations.
- Any claim that information you entered or displayed through TONVUX was inaccurate, misleading, unauthorized, harmful, or unlawful.
22. Enforcement and Injunctive Relief
Unauthorized copying, reverse engineering, distribution, access, credential sharing, misuse, or infringement of TONVUX may cause irreparable harm to WebNeuro. WebNeuro may seek injunctive relief, damages, recovery of legal costs, account suspension, termination, and any other remedies available at law or equity.
23. Third-Party Services
TONVUX may rely on third-party services for hosting, payment processing, email, analytics, monitoring, SMS, maps, Google Business Profile, databases, or other functionality. WebNeuro is not responsible for third-party outages, changes, terms, data practices, or failures outside WebNeuro’s reasonable control.
24. Changes to These Terms
WebNeuro may update these Terms from time to time. Material changes may be communicated by email, dashboard notice, website posting, or another reasonable method. Continued use of TONVUX after the effective date of updated Terms means you accept the updated Terms.
25. Governing Law and Disputes
These Terms are governed by the laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard to conflict-of-law rules. The parties will first attempt to resolve disputes through good-faith negotiation. If a dispute cannot be resolved, the parties agree to the courts of Alberta, Canada, unless a signed written agreement requires a different process.
26. General Terms
If any provision of these Terms is found unenforceable, the remaining provisions will continue in effect. WebNeuro’s failure to enforce a provision is not a waiver. You may not assign your rights or obligations without WebNeuro’s written consent. WebNeuro may assign these Terms in connection with a merger, acquisition, reorganization, sale of assets, or successor business. These Terms, together with the Privacy Policy and any signed service agreement, form the applicable agreement between you and WebNeuro for TONVUX.
